The InsureCompareNow.com website located at https://www.insurecomparenow.com/ (the "Site") is a free consumer referral and marketing service that enables you to access general information about auto and home insurance and to request to be matched with, and contacted by, independent third party insurance carriers, licensed agents, brokers and insurance marketing companies ("Service Providers" or "Marketing Partners") that offer insurance products and related services in your area. When you use this Site, you represent and warrant that you understand that the Site is not affiliated with or managed, endorsed or sanctioned by any insurance company, insurance agency, or any state or federal governmental entity, including any state department or division of insurance.

THE AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, RELEASES, A CLASS-ACTION WAIVER AND THE REQUIREMENT TO ARBITRATE ANY AND ALL CLAIMS THAT MAY ARISE HEREUNDER. THIS ARBITRATION AGREEMENT INCLUDES CLAIMS RELATED TO OUR CLIENTS, VENDORS, AND MARKETING PARTNERS, WHICH ARE THIRD PARTY BENEFICIARIES OF THIS ARBITRATION AGREEMENT. THE AFOREMENTIONED PROVISIONS ARE AN ESSENTIAL BASIS OF THE AGREEMENT.

The Site is an Internet property of InsureCompareNow.com and its affiliated companies ("InsureCompareNow.com," "we," "our" or "us"). You are agreeing to comply with and be bound by the following InsureCompareNow.com Terms and Conditions ("Terms and Conditions") when you: (a) access the Site; (b) submit a request form on the Site to request information and/or quotes and to be matched with, and contacted by, one or more Service Providers (the "Matching Services"); and/or (c) view certain content, links and other material pertaining to the Service Providers and the insurance products and related services that they offer ("Insurance Services"), and other related text, graphics, photos and other content (collectively, "Content," and together with the Site and the Matching Services, the "Site Offerings").

The InsureCompareNow.com Privacy Policy ("Privacy Policy") and any and all other applicable InsureCompareNow.com operating rules, policies and other supplemental terms and conditions that may be published from time to time are expressly incorporated herein by reference (collectively, the "Agreement"). Please review the following terms of the Agreement carefully. If you do not agree to these Terms and Conditions and the terms of the Agreement in their entirety, you are not authorized to use the Site Offerings in any manner or form.

InsureCompareNow.com IS A FREE CONSUMER REFERRAL AND MARKETING SERVICE THAT MATCHES CONSUMERS WITH INDEPENDENT INSURANCE CARRIERS, LICENSED AGENTS, BROKERS AND MARKETING PARTNERS THAT OFFER PRODUCTS AND/OR SERVICES OF INTEREST TO THE CONSUMER. InsureCompareNow.com IS NOT AN INSURANCE COMPANY, AN INSURANCE AGENCY OR A BROKER, IS NOT LICENSED TO TRANSACT INSURANCE IN ANY STATE, AND DOES NOT UNDERWRITE, ISSUE, BIND, MODIFY OR CANCEL ANY POLICY, SET ANY RATE, ADJUST ANY CLAIM OR PROVIDE INSURANCE ADVICE OR RECOMMENDATIONS. IN ORDER TO PERFORM THE MATCHING SERVICES AND ENABLE YOU TO REQUEST A QUOTE FROM A SERVICE PROVIDER, InsureCompareNow.com MAY ASK YOU FOR INFORMATION ABOUT YOUR VEHICLE OR PROPERTY, THE PEOPLE TO BE COVERED AND YOUR CURRENT INSURANCE. YOUR RESPONSES AND THE INFORMATION YOU CHOOSE TO SUBMIT IN ORDER TO OBTAIN A QUOTE WILL HELP US IMPROVE THE ACCURACY OF YOUR QUOTE RESULTS. WE DO NOT ASK FOR, AND YOU SHOULD NOT SUBMIT, ANY HEALTH OR MEDICAL INFORMATION, SOCIAL SECURITY NUMBER, DRIVER'S LICENSE NUMBER OR FINANCIAL ACCOUNT NUMBERS. YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT THE INFORMATION YOU CHOOSE TO PROVIDE TO US WILL BE COLLECTED, STORED AND TRANSMITTED TO OUR MARKETING PARTNERS FOR THE PURPOSE OF MATCHING YOU WITH SERVICE PROVIDERS THAT CAN CONTACT YOU ABOUT THEIR PRODUCTS AND SERVICES.

InsureCompareNow.com MAY BE COMPENSATED BY THE SERVICE PROVIDERS AND MARKETING PARTNERS THAT PARTICIPATE IN THE MATCHING SERVICES. THIS COMPENSATION MAY AFFECT WHICH SERVICE PROVIDERS WE PRESENT TO YOU AND THE ORDER IN WHICH THEY ARE PRESENTED. WE DO NOT PRESENT ALL SERVICE PROVIDERS, OR ALL PRODUCTS AND SERVICES AVAILABLE IN YOUR AREA. A LIST OF OUR MARKETING PARTNERS IS AVAILABLE ON OUR PARTNER LIST PAGE.

THE SERVICE PROVIDERS ACCESSIBLE THROUGH THE SITE OFFERINGS ARE INDEPENDENT BUSINESSES. InsureCompareNow.com MAKES NO GUARANTEES, REPRESENTATIONS OR WARRANTIES REGARDING THE LICENSING, APPOINTMENTS, FINANCIAL STRENGTH, CLAIMS HANDLING, PRICING, POLICY TERMS, PRODUCTS, SERVICES OR SUITABILITY OF ANY SERVICE PROVIDER, OR THAT ANY POLICY OR COVERAGE IS APPROPRIATE FOR YOUR PARTICULAR CIRCUMSTANCES. InsureCompareNow.com DOES NOT GUARANTEE THAT YOU WILL BE OFFERED COVERAGE OR THAT ANY QUOTE WILL BE HONORED. ANY PREMIUM RANGES, SAVINGS FIGURES, COVERAGE SUMMARIES OR DISCOUNTS REFERENCED ON THE SITE ARE ILLUSTRATIVE ONLY, ARE NOT A QUOTE, BINDER OR OFFER OF INSURANCE, AND VARY BY APPLICANT, INSURER, STATE AND TIME. ONLY THE POLICY DOCUMENTS ISSUED BY AN INSURER DETERMINE WHAT IS COVERED.

1. Acceptance of Agreement; Modification

You agree to the terms and conditions outlined in the Agreement with respect to your use of the Site Offerings. The Agreement constitutes the entire and only agreement between you and InsureCompareNow.com with respect to your use of the Site, and supersedes all prior and contemporaneous agreements, representations, warranties and/or understandings with respect to the Site Offerings. We may amend the Agreement from time to time in our sole discretion, without specific notice to you; provided, however, that any amendment or modification to the arbitration provisions, prohibition on class actions provisions or any other provisions applicable to dispute resolution (collectively, "Dispute Resolution Provisions") shall not apply to any disputes incurred prior to the applicable amendment or modification. The latest Agreement will be posted on the Site, and you should review the Agreement prior to using the Site Offerings. By your continued use of the Site Offerings after the Agreement has been changed, you hereby agree to comply with all of the terms and conditions contained within the Agreement effective at that time (other than with respect to disputes arising prior to the amendment or modification of the Dispute Resolution Provisions, which shall be governed by the Dispute Resolution Provisions in effect at the time of the subject dispute). Therefore, you should regularly check this page for updates and/or changes.

2. Requirements; Termination of Access

The Site Offerings are available only to individuals who can enter into legally binding contracts under applicable law and who are over eighteen (18) years of age (or the applicable age of majority, if greater than eighteen (18) years of age in their jurisdiction). If a user is under eighteen (18) years of age (or the applicable age of majority, if greater than eighteen (18) years of age in her/his jurisdiction) and/or if that user is unable to enter into legally binding contracts under applicable law, that user does not have permission to use and/or access the Site Offerings.

InsureCompareNow.com may terminate any user's access to the Site Offerings at any time and for any reason, in its sole discretion. Such reasons may include, without limitation, where InsureCompareNow.com believes that such user is: (a) in any way in breach of the Agreement; and/or (b) engaged in any improper conduct in connection with the Site Offerings.

3. Description of Site Offerings

The Site provides users with an opportunity to request quotes for Insurance Services and to be matched with, and contacted by, one or more Service Providers. Please be advised that InsureCompareNow.com does not itself provide insurance or any related products and/or services, and the ultimate terms, pricing and conditions of any product or service provided by any Service Provider will be determined by that Service Provider. To use the Matching Services, you must first fully complete the request form located at the Site ("Site Application") and, in some cases, the request form set forth on the applicable Service Provider's website ("SP Application" and together with the Site Application, the "Full Application"). The information that you will supply on the Site Application may include, but not be limited to: (a) your first name; (b) your last name; (c) your e-mail address; (d) your home, work and/or mobile telephone numbers; (e) your ZIP code and, where requested, your street address, city and state; (f) the type of insurance for which you are requesting quotes; (g) details about the vehicle or property to be insured, such as year, make and model, or property type, age and whether you own it; (h) the date of birth, gender and marital status of the people to be covered, your current insurance status and history, and whether there have been recent accidents or violations; and (i) any and all other information requested on the applicable request form (collectively, the "Site Registration Data"). The Site Application form will set forth the exact information that is required. We do not request, and you should not submit, your Social Security number, driver's license number, financial account numbers, or any health or medical information. Upon entering your Site Registration Data and clicking on the applicable submission button on the Site, you may be contacted by, and/or redirected to the website of, one or more Service Providers. InsureCompareNow.com may also transfer your Site Registration Data to its Service Providers and Marketing Partners in connection with facilitating the processing of your quote request. The information that you must supply on the SP Application shall be determined by the applicable Service Provider(s) (the "SP Registration Data" and, together with the Site Registration Data, the "Registration Data"). Any information that you supply to any Service Provider shall be governed by that Service Provider's privacy policy. Acceptance of your quote request, your eligibility for coverage, and the ultimate terms, pricing and conditions of any policy or service provided by any Service Provider(s), will be determined by those Service Providers in accordance with their underwriting criteria and applicable state law. Where you provide your prior express written consent on the applicable form, you agree to receive marketing calls and text messages, including calls and messages placed using an automatic telephone dialing system, artificial voice or pre-recorded messages, from InsureCompareNow.com and/or its Marketing Partners at the telephone number that you provide. Your consent is not a condition of any purchase, and standard message and data rates may apply. You may revoke your consent at any time by completing the form on our Revoke Consent page or by contacting us using one of the methods set forth in the Contact section below.

Unless explicitly stated otherwise, any future offer(s) made available to you on the Site that augment(s) or otherwise enhance(s) the current features of the Site shall be subject to the Agreement. You understand and agree that InsureCompareNow.com is not responsible or liable in any manner whatsoever for your use of, or inability to use and/or qualify for, Insurance Services or other products and/or services offered by any Service Provider, or for any dispute between you and any Service Provider. You understand and agree that InsureCompareNow.com shall not be liable to you or any third party for any modification, suspension or discontinuation of any product, service or promotion offered by any Service Provider.

If InsureCompareNow.com terminates the Agreement for any reason, InsureCompareNow.com shall have no liability or responsibility to you. You understand and agree that refusal to use the Site is your sole right and remedy with respect to any dispute with InsureCompareNow.com. The Agreement only governs your use of the Site.

4. Non-Endorsement; Passive Conduit

(a) InsureCompareNow.com does not sponsor, recommend or endorse any Service Provider that is accessible by or through the Matching Services and/or other Site Offerings. The Service Providers that are accessible by and through the Matching Services pay a fee for access to the users that utilize the Matching Services. InsureCompareNow.com does not guarantee that users will successfully be matched with a Service Provider through the Site Offerings, or that any Service Provider will contact you, quote your request or offer you coverage.

(b) Please use caution and common sense when using the Site Offerings. InsureCompareNow.com in no way endorses the content or legality of any responses, statements or promises made by Service Providers or any other parties on the Site or otherwise through the Site Offerings.

(c) The decision to buy insurance and the choice of an insurer or agent are extremely important decisions and should not be based solely on advertisements, claims of expertise, or price offered by any Service Provider. InsureCompareNow.com does not verify the licensing, appointments, financial strength, complaint record or claims handling of any Service Provider, and does not review the standing of any Service Provider with any regulatory authority or governmental agency. Therefore, InsureCompareNow.com makes no representation regarding the status, standing or ability of any Service Provider. Before purchasing a policy from a Service Provider, users should independently confirm that Service Provider's license with their state department of insurance, read the policy documents including all exclusions and limits, compare written quotes, and check that Service Provider's standing with the applicable state regulatory and/or governmental agencies and consumer protection organizations.

(d) InsureCompareNow.com does not involve itself in the agreements between users and Service Providers or the actual provision of Insurance Services in connection with the relationships created thereby. Therefore, InsureCompareNow.com does not make any representations regarding the competency, trustworthiness, honesty, integrity and/or behavior of either its users or Service Providers. Each user, and not InsureCompareNow.com, is solely responsible for assessing the competency, trustworthiness, honesty and integrity of all Service Providers that the user communicates with via the Matching Services. Because InsureCompareNow.com is not involved in user interactions, in the event that you have a dispute with one or more Service Providers and/or other third-parties, you hereby release InsureCompareNow.com from any and all claims, demands and/or damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of, or in any way connected with, such disputes.

5. Content

The Site contains Content which includes, but is not limited to, links, text, video, articles, glossary entries and coverage guides, and/or other information pertaining to insurance products and/or services, including general descriptions of coverages, deductibles, limits, discounts and how insurers rate risk. The Content is offered for general informational and educational purposes only, does not constitute a quote, binder or offer of insurance, and does not constitute insurance, actuarial, tax, financial or legal advice. The Content is at all times subject to the disclaimers contained herein, and on the Site. Only a Service Provider, after evaluating your application, can give you an actual rate, and only the policy documents an insurer issues determine what is covered. Reliance on any Content or other information made available to you by and through the Site Offerings is solely at your own risk. InsureCompareNow.com disclaims any and all liability for any loss, damage or injury based on Content or other information directly or indirectly obtained through the Site Offerings.

6. License Grant

As a user of the Site, you are granted a non-exclusive, non-transferable, revocable and limited license to access and use the Site Offerings and associated Content in accordance with the Agreement. InsureCompareNow.com may terminate this license at any time for any reason. You may use the Site Offerings for your own personal, non-commercial use. No part of the Site Offerings may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical. You may not use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, reverse engineer or transfer the Site Offerings, Content or any portion thereof. InsureCompareNow.com reserves any rights not explicitly granted in the Agreement. Systematic retrieval of material from the Site by automated means or any other form of scraping or data extraction in order to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from InsureCompareNow.com is prohibited. You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site Offerings. You may not take any action that imposes an unreasonable or disproportionately large load on the InsureCompareNow.com infrastructure. Your right to use the Site Offerings is not transferable.

7. Proprietary Rights

The Content, organization, graphics, design, compilation, magnetic translation, digital conversion, software, services and other matters related to the Site Offerings are protected under applicable copyrights, trademarks and other proprietary (including, but not limited to, intellectual property and moral) rights. The copying, redistribution, publication or sale by you of any part of the Site Offerings is strictly prohibited. You do not acquire ownership rights in the Site Offerings or any content, document, software, services or other materials viewed at or through the Site. The posting of information or material on the Site by InsureCompareNow.com does not constitute a waiver of any right in such information and/or materials.

8. Editing, Deleting and Modification

We reserve the right in our sole discretion to edit and/or delete, at any time, any documents, information or other Content appearing on the Site.

9. Indemnification

You agree to indemnify, defend and hold InsureCompareNow.com, its parents, subsidiaries and affiliates, and each of their respective members, officers, directors, employees, agents, co-branders and/or other partners, harmless from and against any and all claims, expenses (including reasonable attorneys' fees), damages, suits, costs, demands and/or judgments whatsoever, made by any third party due to or arising out of: (a) your use of the Site Offerings and/or any Insurance Services; (b) your breach of the Agreement; (c) any dispute between you and any Service Provider, including any dispute regarding the scope, terms, pricing, issuance, cancellation, non-renewal or handling of any policy or claim by a Service Provider; and/or (d) your violation of any rights of another individual and/or entity. The provisions of this Section 9 are for the benefit of InsureCompareNow.com, its parents, subsidiaries and affiliates, and each of their respective officers, directors, members, employees, agents, shareholders, licensors, suppliers and/or attorneys. Each of these individuals and entities shall have the right to assert and enforce these provisions directly against you on its own behalf.

10. Disclaimer of Warranties

THE SITE OFFERINGS, INSURANCE SERVICES AND/OR ANY OTHER PRODUCTS AND/OR SERVICES THAT YOU MAY REQUEST THROUGH THE SITE OFFERINGS ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS AND ALL PROMISES, GUARANTEES, REPRESENTATIONS AND WARRANTIES, EXPRESS AND IMPLIED, ARE DISCLAIMED TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW (INCLUDING, BUT NOT LIMITED TO, THE DISCLAIMER OF ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY AND/OR FITNESS FOR A PARTICULAR PURPOSE). IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, InsureCompareNow.com MAKES NO PROMISES, GUARANTEES, REPRESENTATIONS OR WARRANTIES THAT: (A) THE SITE OFFERINGS, INSURANCE SERVICES AND/OR ANY OTHER PRODUCTS AND/OR SERVICES THAT YOU MAY REQUEST THROUGH THE SITE OFFERINGS WILL MEET YOUR REQUIREMENTS; (B) THE SITE OFFERINGS, INSURANCE SERVICES AND/OR ANY OTHER PRODUCTS AND/OR SERVICES THAT YOU MAY REQUEST THROUGH THE SITE OFFERINGS WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (C) YOU WILL BE MATCHED WITH ANY SERVICE PROVIDER, OR WILL RECEIVE ANY QUOTE FOR INSURANCE SERVICES FROM OUR SERVICE PROVIDERS; OR (D) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OFFERINGS, INSURANCE SERVICES AND/OR ANY OTHER PRODUCTS AND/OR SERVICES THAT YOU MAY REQUEST THROUGH THE SITE OFFERINGS WILL BE ACCURATE OR RELIABLE OR SUFFICIENT FOR YOUR PARTICULAR NEEDS. THE SITE OFFERINGS, INSURANCE SERVICES AND/OR ANY OTHER PRODUCTS AND/OR SERVICES THAT YOU MAY REQUEST THROUGH THE SITE OFFERINGS MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. WE WILL NOT BE LIABLE FOR THE AVAILABILITY OF THE UNDERLYING INTERNET CONNECTION ASSOCIATED WITH THE SITE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM InsureCompareNow.com, ITS SERVICE PROVIDERS OR OTHERWISE THROUGH OR FROM THE SITE OFFERINGS, SHALL CREATE ANY PROMISE, GUARANTEE, REPRESENTATION OR WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT.

11. Limitation of Liability

YOU EXPRESSLY UNDERSTAND, ACKNOWLEDGE AND AGREE THAT InsureCompareNow.com SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL AND/OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA OR OTHER TANGIBLE OR INTANGIBLE LOSSES (EVEN IF InsureCompareNow.com HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND/OR SUCH DAMAGES ARE FORESEEABLE), TO THE FULLEST EXTENT PERMISSIBLE BY LAW FOR: (A) THE USE OR THE INABILITY TO USE THE SITE OFFERINGS, INSURANCE SERVICES AND/OR ANY OTHER PRODUCTS AND/OR SERVICES THAT YOU MAY REQUEST THROUGH THE SITE OFFERINGS; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION AND/OR SERVICES PURCHASED OR OBTAINED FROM, OR TRANSACTIONS ENTERED INTO THROUGH, THE SITE OFFERINGS; (C) THE FAILURE TO BE MATCHED WITH, OR TO RECEIVE A QUOTE FROM, ANY SERVICE PROVIDER; (D) THE UNAUTHORIZED ACCESS TO, OR ALTERATION OF, YOUR REGISTRATION DATA; (E) ANY ACT OR OMISSION OF ANY SERVICE PROVIDER, INCLUDING WITHOUT LIMITATION THE DENIAL OF COVERAGE, THE RATE OR TERMS OFFERED, THE ISSUANCE, CANCELLATION OR NON-RENEWAL OF ANY POLICY, THE HANDLING, DELAY, DENIAL OR SETTLEMENT OF ANY CLAIM, OR ANY UNCOVERED LOSS; AND (F) ANY OTHER MATTER RELATING TO THE SITE OFFERINGS, INSURANCE SERVICES AND/OR ANY OTHER PRODUCTS AND/OR SERVICES THAT YOU MAY REQUEST THROUGH THE SITE OFFERINGS. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION, IN THE AGGREGATE INCLUDING, BUT NOT LIMITED TO, BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATIONS AND ANY AND ALL OTHER TORTS.

YOU HEREBY RELEASE InsureCompareNow.com AND ITS SERVICE PROVIDERS FROM ANY AND ALL OBLIGATIONS, LIABILITIES AND CLAIMS IN EXCESS OF THE LIMITATIONS STATED HEREIN. IF APPLICABLE LAW DOES NOT PERMIT SUCH LIMITATIONS, THE MAXIMUM LIABILITY OF InsureCompareNow.com TO YOU UNDER ANY AND ALL CIRCUMSTANCES WILL BE FIVE HUNDRED DOLLARS ($500.00). THE NEGATION OF DAMAGES SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND InsureCompareNow.com. THE SITE OFFERINGS, INSURANCE SERVICES AND/OR ANY OTHER PRODUCTS AND/OR SERVICES THAT YOU MAY REQUEST THROUGH THE SITE OFFERINGS WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS.

12. Third Party Websites

The Site may provide links to and/or refer you to other Internet websites and/or resources including, but not limited to, the websites of Service Providers. Because InsureCompareNow.com has no control over such third party websites and/or resources, you hereby acknowledge and agree that InsureCompareNow.com is not responsible for the availability of such third party websites and/or resources. Furthermore, InsureCompareNow.com does not endorse, and is not responsible or liable for, any terms and conditions, privacy policies, content, advertising, services, products and/or other materials at or available from such third party websites or resources, or for any damages and/or losses arising therefrom. The Site may contain links to other third-party owned and/or operated websites and, where you request information from Service Providers, InsureCompareNow.com may transfer you directly to the websites of such Service Providers. InsureCompareNow.com is not responsible for the privacy practices or the content of such websites. 15. Dispute Resolution Provisions

The Agreement shall be treated as though it were executed and performed in New York, New York and shall be governed by and construed in accordance with the laws of the State of New York (without regard to conflict of law principles).

To the extent permitted by law, you agree that you will not bring, join or participate in any class action lawsuit as to any claim, dispute or controversy that you may have against InsureCompareNow.com and/or its employees, officers, directors, members, representatives and/or assigns. You agree to the entry of injunctive relief to stop such a lawsuit or to remove you as a participant in the suit. You agree to pay the attorneys fees and court costs that InsureCompareNow.com incurs in seeking such relief. This provision preventing you from bringing, joining or participating in class action lawsuits: (A) does not constitute a waiver of any of your rights or remedies to pursue a claim individually and not as a class action, in binding arbitration as provided herein above; and (B) is an independent agreement. You may opt-out of these dispute resolution provisions by providing written notice of your decision within thirty (30) days of the date that you first access the Site.

16. Agreement to Arbitrate

You and we each agree that any and all disputes or claims that relate to or arise from your use of or access to our Services, or any products or services sold, offered, or purchased through our Services, including any contact from our subsidiaries, affiliates, agents or Marketing Partners, shall be resolved exclusively through final and binding arbitration between us and you, or between our subsidiaries, affiliates, or agents and you, rather than in court, except that you may assert claims in small claims court, if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate section (this "Agreement to Arbitrate").

17. Prohibition of Class and Representative Actions and Non-Individualized Relief

You and we agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding, including but not limited to actions under the Telephone Consumer Protection Act, 47 U.S.C. § 227 et seq. Unless both you and us agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims, and may not otherwise preside over any form if a consolidated, representative, or class proceeding. The arbitrator may award relief, including monetary, injunctive, and declaratory relief, only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claim(s). Any relief awarded cannot affect our other users.

18. Arbitration Procedures

The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute arising out of or relating to the interpretation, applicability, enforceability or formation of this Agreement to Arbitrate, any part of it, or of this Agreement including, but not limited to, any claim that all or any part of the Agreement to Arbitrate or this Agreement is void or voidable.

The arbitration will be conducted by the American Arbitration Association ("AAA") under its rules and procedures, including the AAA's Supplementary Procedures for Consumer-Related Disputes (as applicable), as modified by this Agreement to Arbitrate. The AAA's rules and a form for initiating arbitration proceedings is available on the AAA's site at http://www.adr.org.

The arbitration shall be held in the county in which you reside or at another mutually agreed location. If the value of the relief sought is $10,000 or less, you or we may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on you and us subject to the arbitrator's discretion to require an in-person hearing, if the circumstances warrant. Attendance at an in-person hearing may be made by telephone by you and/or us unless the arbitrator requires otherwise.

The arbitrator will decide the substance of all claims in accordance with the laws of the State of New York, including recognized principles of equity, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving our other users but is bound by rulings in prior arbitrations involving the same user to the extent required by applicable law. The arbitrator's award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

This arbitration provision shall survive termination of this Agreement to Arbitrate and the closing of your Account or your use of or access to our Services, or any products or services sold, offered, or purchased through our Services.

19. Costs of Arbitration

Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules, unless otherwise stated in this Agreement to Arbitrate. If the value of the relief sought is $10,000 or less, at your request, we will pay all filing, administration, and arbitrator fees associated with the arbitration. Any request for payment of fees by us should be submitted by mail to the AAA along with your Demand for Arbitration and we will arrange to pay all necessary fees directly to the AAA. If the value of the relief sought is more than $10,000 and you can demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, we will pay as much of the filing, administration, and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. In the event the arbitrator determines the claim(s) you assert in the arbitration to be frivolous, you agree to reimburse us for all fees associated with the arbitration paid by us on your behalf, which you otherwise would be obligated to pay under the AAA's rules.

20. Confidentiality

The arbitration proceedings and arbitration award shall be maintained by the parties as strictly confidential, except as is otherwise required by court order or as is necessary to confirm, vacate or enforce the award and for disclosure in confidence to the parties' respective attorneys, tax advisors and senior management and to family members of a party who is an individual.

21. Severability

Except for any of the provisions in this Agreement to Arbitrate ("Prohibition of Class and Representative Actions and Non-Individualized Relief"), if an arbitrator or court decides that any part of this Agreement to Arbitrate is invalid or unenforceable, the other parts of this Agreement to Arbitrate shall still apply. If an arbitrator or court decides that any of the provisions in Section 17 of this Agreement to Arbitrate ("Prohibition of Class and Representative Actions and Non-Individualized Relief") is invalid or unenforceable, then the entirety of this Agreement to Arbitrate shall be null and void. The remainder of the Agreement and its Legal Disputes Section will continue to apply.

22. Miscellaneous

Should any part of the Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site and/or any InsureCompareNow.com offering is in conflict or inconsistent with these Terms and Conditions, these Terms and Conditions shall take precedence. Our failure to enforce any provision of the Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. The parties do not intend that any agency or partnership relationship be created through operation of the Agreement. InsureCompareNow.com may assign its rights and obligations under the Agreement, in whole or in part, to any party at any time without any notice to you. The Agreement, may not however, be assigned by you, and you may not delegate your duties under it. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
